DE Preclearance
We have received the following email from the Delaware Division of Corporations regarding Preclearances:
The DE Division of Corporations has decided to begin to allow a limited acceptance of preclearance submissions effective November 28, 2022, thru December 16, 2022. In order to allow us to efficiently manage the document workload and processing of preclearances, the following requirements relating to submission of preclearances are being instituted during this time frame:
- We will only be accepting preclearances for the following document types: Mergers, Conversions, Restateds and Designations.
- In addition, we ask that you refrain from submitting multiple preclears of similar documents and only changing the names of the entities.
- We will only be accepting preclearances through 24 hour service.
- We will continue to monitor the workload through the end of the year and make adjustments as needed.
- We appreciate your efforts to ensure that the documents you are submitting on behalf of your customers conform to the statutes, regulations and issued guidelines; which in turn helps with the processing time of the documents. Please contact our office with any questions. Thank you for your assistance and cooperation.
